Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between PawKnights Inc. (“PawKnights,” “we,” “us,” or “our”) and you (“you,” “your,” or “user”). They govern your access to and use of the PawKnights mobile application, website, and related services (the “Services”).

​

By downloading, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

​

1. Eligibility and Account Registration

​

1.1 Minimum Age. You must be at least thirteen (13) years old, or the minimum age required in your jurisdiction, to use the Services.

1.2 Authority. If you create an account on behalf of a business or organization, you represent that you have authority to bind that entity.

1.3 Account Creation. Certain features require an account. You must provide a first name and valid email address; optional information may include a last name and phone number. Information must be accurate and kept current.

1.4 Security. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

1.5 Right to Refuse. PawKnights may suspend, restrict, or remove any account that appears fraudulent, inactive, or in violation of these Terms or our Community Guidelines.

1.6 Third-Party Login. You may register using Google, Apple, or Facebook. PawKnights may receive your first name and either your email or Apple-relay email. PawKnights does not receive passwords or profile photos.

2. Description of Services

​

The Services enable community-supported lost-pet safety and recovery, including:

  • Reporting lost pets and sightings via map pins;

  • Creating pet profiles (name, breed, color, photo);

  • Viewing a shared map showing lost pets and partner locations;

  • Generating and sharing lost-pet posters;

  • Access to optional mini-games and rewards;

  • One-to-one messaging with blocking and inappropriate-word filtering;

  • Tools to report posts for spam, scams, harassment, hate, sexual content, violence, illegal activity, private information, or other misuse.

PawKnights operates on a freemium model. Premium features may be purchased through the Apple App Store or Google Play.

PawKnights does not provide emergency, veterinary, or professional pet-recovery services. All lost-pet information is user-generated.

​3. User Conduct and Community Guidelines

​

Users agree not to:

​

a) Submit false, misleading, or fraudulent reports or sightings;
b) Harass, abuse, threaten, or harm others;
c) Post spam, unlawful, hateful, or inappropriate content;
d) Interfere with or disrupt the Services;
e) Use the Services unlawfully;
f) Send abusive, explicit, violent, or inappropriate messages;
g) Circumvent blocks or restrictions imposed by other users;
h) Submit content containing hate speech, slurs, violent or graphic content, or illegal activity;
i) Misuse reporting tools or submit malicious pins;
j) Attempt to collect personal information about other users.

Blocking.

Blocking another user removes the conversation from the blocker’s device and hides the blocked user’s posts. The blocked user may still see prior messages. Blocking is not disclosed.

​

Messaging Limits.

PawKnights cannot view, access, or retrieve private chat messages. Automated filters may operate, but no human review occurs. Group chats and media uploads are not supported.

3.1 Prohibited Content

​

You may not submit, upload, transmit, or share any content through the Services that includes or relates to:

​

(a) Illegal Activity:
• Criminal activity, unlawful behavior, theft, trafficking, animal cruelty, or instructions for illegal acts.

​

(b) Violence and Threats:
• Threats of harm, physical violence, bullying, intimidation, stalking, or incitement of violence.

​

(c) Hate Speech or Discrimination:
• Content that attacks or demeans individuals or groups based on race, ethnicity, nationality, religion, disability, gender, sexual orientation, or any protected characteristic.

​

(d) Harassment and Abuse:
• Persistent unwanted contact, derogatory remarks, insults, bullying, or conduct intended to shame, humiliate, or emotionally harm others.

​

(e) Sexual Content:
• Pornographic content, sexual solicitation, explicit imagery, sexually suggestive content involving adults, or anything involving minors.

​

(f) Graphic or Disturbing Content:
• Graphic violence, gore, injury photos, animal abuse imagery, or other disturbing materials.

​

(g) Fraud and Deception:
• False or misleading reports, impersonation, scams, phishing attempts, or attempts to mislead the community.

​

(h) Spam or Malicious Behavior:
• Unrelated promotions, automated or bulk messaging, malware, links to harmful websites, or disruptive behavior.

​

(i) Private or Confidential Information:
• Posting another person’s address, phone number, email, financial information, or other sensitive data without consent.

​

(j) Any Content Harmful to the Community:
• Anything that undermines safety, trust, or the intended purpose of the PawKnights platform.

​

3.2 Community Safety Policy

​

PawKnights is a community built on trust, respect, and cooperation. To keep users safe:

​

1.     We monitor reported content and user behavior for violations of these Terms.

2.     We may review lost-pet reports, sightings, and profiles flagged by the community.

3.     We cannot view private messages; however, automated filters help detect inappropriate language.

4.     We prioritize user safety when determining enforcement actions.

5.     Users are encouraged to report harmful or suspicious content immediately.

6.     Users should independently verify any lost-pet information, sightings, or user submissions before taking action offline.

PawKnights reserves the right to remove content, restrict functionality, or disable features when necessary to protect the community.

​

3.3 Enforcement and Moderation

​

PawKnights maintains the right to enforce these Terms in its sole discretion. Enforcement actions may include, but are not limited to:

​

(a) Content Actions:


• Removing or hiding content
• Restricting visibility
• Editing or disabling posts

​

(b) Account Actions:


• Warning notices
• Temporary feature limits
• Temporary suspension
• Permanent account termination

​

(c) System Actions:


• Rate limiting
• Disabling messaging
• Blocking abuse vectors
• IP/device-based restrictions in severe cases

​

PawKnights may take action without prior notice if content or behavior presents immediate risk or violates our zero-tolerance policies.

Enforcement decisions are final and may be made for any conduct that we determine, in our sole discretion, to be harmful to users, pets, partners, or the PawKnights community.

3.4 Zero-Tolerance Policy

​

PawKnights maintains a zero-tolerance policy toward objectionable content and abusive behavior. Accounts engaging in hate, harassment, threats, violence, sexual content, illegal activity, or any harmful conduct may be immediately suspended or terminated without notice.

4. Location Data

​

4.1 Certain features require real-time device location.

4.2 By enabling location services, you consent to the collection and use of location data for map pins, alerts, and nearby notifications.

4.3 You may disable location services at any time, though some features may not function.

4.4 Location pins reflect only the reported lost-pet or sighting location.

4.5 PawKnights does not sell location data. Limited sharing occurs only with trusted third-party providers necessary to operate the Services.

4.6 Pins use exact GPS coordinates, although the user selects the final map placement.

4.7 Only your first name is visible to other users, and only when you post a lost pet report, submit a sighting, or communicate through the in-app chat.

5. User Content and Intellectual Property

​

5.1 You may submit content such as pet photos, details, and posts (“User Content”). You retain ownership of your User Content.
5.2 By submitting User Content, you grant PawKnights a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, display, reproduce, and distribute such content solely to operate, promote, and improve the Services.
5.3 You represent and warrant that you own or have rights to your User Content and that it does not infringe any third-party rights.
5.4 PawKnights may (but is not obligated to) review or remove User Content that violates these Terms or our policies.
5.5 Deleted content may remain in back-up copies for a limited time.
5.6 PawKnights retains all rights in its own intellectual property, including logos, designs, software, and trademarks.

5.7 Private messages cannot be accessed or retrieved by PawKnights.

5.8 Reported content may be reviewed manually within 24 hours.

6. Subscriptions and Payments

​

6.1 Premium subscriptions cost $2.99 CAD/month via Apple App Store or Google Play.
6.2 All billing, renewals, cancellations, and refunds are governed by each app store’s terms. PawKnights does not process payments directly.
6.3 Subscriptions renew automatically unless cancelled through your app-store account.
6.4 PawKnights may change pricing with notice as required by app-store policy.
6.5 No refunds or credits are issued for partial periods, except where required by law.

​​7. Disclaimers and Limitation of Liability

​

7.1 The Services are provided “as is” and “as available.” PawKnights makes no warranties of any kind, express or implied.
7.2 We do not guarantee that:
a) Lost pets will be found;
b) User reports are accurate or reliable;
c) Partner offers or discounts are error-free;
d) The Services will be uninterrupted or secure.
7.3 PawKnights is not responsible for interactions, communications, or transactions between users or with third parties.
7.4 To the fullest extent permitted by law, PawKnights and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages.
7.5 Liability Cap: PawKnights’ total liability arising from these Services shall not exceed the greater of (i) $100 CAD or (ii) the amount you paid for Premium Services in the preceding 12 months.

8. Termination and Data Retention

​

8.1 We may suspend or terminate accounts at any time for violation of these Terms, law, or community policies.
8.2 You may terminate your account at any time via the app or by contacting support.
8.3 Upon termination, data may be retained as required for security, fraud prevention, or legal obligations before being deleted.
8.4 Termination does not affect rights or obligations that accrued before termination.

9. Governing Law and Dispute Resolution

​

9.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
9.2 Any dispute arising under these Terms shall be resolved in Toronto, Ontario.
9.3 Where permitted by law, disputes shall be resolved by binding arbitration in English under the Ontario Arbitration Act. The arbitrator’s decision is final.
9.4 You waive any right to a jury trial or to participate in class actions or representative proceedings against PawKnights.

10. No Emergency Services

​

PawKnights is not a replacement for animal control, law enforcement, or emergency response.
If a pet or person is in immediate danger, contact local authorities or emergency services directly.

​

11. Third-Party Services, Mapping Technologies, and Partner Locations

​

The Services may incorporate, rely on, or provide access to third-party content, technologies, data, and services, including without limitation mapping platforms, geolocation services, partner business listings, external websites, and promotional offers (“Third-Party Services”). Third-Party Services include, but are not limited to, Google Maps, Apple Maps, geolocation APIs, analytics providers, authentication services, and partner business information.

PawKnights does not control, endorse, or assume responsibility for any Third-Party Services, including the accuracy, completeness, reliability, availability, or security of any data or content they provide. Your use of Third-Party Services is governed solely by the terms and conditions and privacy policies of the applicable third parties.

​

PawKnights is not responsible or liable for any:


(a) errors, inaccuracies, or delays in mapping data, geolocation data, or partner location information;
(b) outages, interruptions, failures, or changes in functionality of Third-Party Services, including those arising from Google Maps, Apple Maps, or related APIs;
(c) discrepancies in addresses, coordinates, phone numbers, or website links displayed for partner locations or other third parties;
(d) harm, loss, or damages arising from your reliance on Third-Party Services or data provided through them; or
(e) interactions, communications, or transactions between you and any third party, including any partner businesses appearing on the PawKnights map.

Accessing or relying on Third-Party Services is done at your own risk. PawKnights may modify or discontinue integrations with any Third-Party Service at any time without notice.

12. Indemnification 

​

You agree to indemnify, defend, and hold harmless PawKnights Inc., its parent companies, subsidiaries, affiliates, successors, assigns, and each of their respective officers, directors, shareholders, employees, contractors, licensors, service providers, and agents (collectively, the “PawKnights Parties”) from and against any and all claims, demands, complaints, actions, proceedings, liabilities, losses, damages, penalties, fines, judgments, costs, and expenses (including, without limitation, reasonable legal and professional fees) arising out of or relating to:

​

(a) your access to or use of the Services;
(b) your User Content, including any data, images, descriptions, or map pin placements you submit;
(c) your conduct, including interactions with other users or third parties;
(d) your misuse of any location feature, mapping feature, or partner-location data;
(e) your false, fraudulent, inaccurate, misleading, or malicious reports, sightings, content, or communications;
(f) your breach or alleged breach of these Terms or any applicable law;
(g) your violation of the rights of any third party, including privacy, intellectual property, or safety rights; or
(h) any activity conducted through your account, whether or not authorized by you.

PawKnights reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to fully cooperate with PawKnights in defending any claim. You may not settle any claim without PawKnights’ prior written consent.

​

Your indemnification obligations under this Section shall survive termination of your account and termination of these Terms.

13. Amendments

​

PawKnights may revise, update, or modify these Terms from time to time. If we make any material changes, as determined in our sole discretion, we will provide notice by email, in-app notification, or by posting an updated version within the Services. Unless otherwise stated, the updated Terms will take effect immediately upon posting.

​

By continuing to access or use the Services after the updated Terms become effective, you acknowledge and agree to be bound by the revised Terms. If you do not agree to the updated Terms, you must immediately discontinue all use of the Services and, if applicable, terminate your account.

​

PawKnights is not obligated to provide advance notice of non-material updates, editorial changes, or modifications made for legal, regulatory, or security reasons. Your continued use of the Services constitutes acceptance of all such changes.

14.1 User Notices to PawKnights.
All legal notices, requests, claims, or other formal communications to PawKnights under these Terms must be submitted in writing and sent exclusively by email to contact@PawKnights.com

​

Notices sent through any other channel, including in-app messages, customer support messages, social media, or feedback forms, do not constitute valid legal notice.

​

14.2 Required Information for Legal Notices.
To be effective, any legal notice you send must include:

​

a) your full legal name;
b) your current mailing address and email address;
c) the email associated with your PawKnights account;
d) a clear description of the issue or claim; and
e) any supporting documentation you wish to include.

​

14.3 When Notice Is Deemed Received.
A notice sent by you is deemed received only when PawKnights confirms receipt in writing. Automated responses do not constitute confirmation.

​

14.4 PawKnights’ Notices to You.
You agree that PawKnights may provide all notices, disclosures, and other communications to you:

​

·       by email to the address associated with your account;

·       by in-app notification; or

·       by posting an update within the Services.

​

Such notices are deemed delivered upon sending.

​

14.5 Responsibility to Maintain Contact Information.
You are solely responsible for ensuring that the email address associated with your account is active, accurate, and capable of receiving notices. PawKnights is not responsible for notices not received due to spam filters, inactive accounts, or user oversight.

​

15. Honor Points and Gamification

​

15.1 No Monetary Value.
Honor Points, ranks, badges, rewards, and any other in-app achievements (collectively, “Honor Points”) have no cash value, are not currency, and cannot be redeemed for money, credit, gift cards, discounts, goods, or services.

​

15.2 No Ownership Rights.
You acknowledge that you do not own Honor Points and that all in-app rewards remain the exclusive property of PawKnights. Honor Points do not constitute property, and you have no vested rights or entitlement to them.

 

15.3 Non-Transferability.
Honor Points may not be transferred, sold, traded, gifted, assigned, or sublicensed, whether voluntarily or involuntarily, by operation of law or otherwise.

​

15.4 Modification or Removal.
PawKnights may, in its sole discretion, add, modify, reduce, suspend, or permanently discontinue the Honor Points system (or any component of it) at any time, with or without notice. This includes adjusting point values, earning criteria, ranks, or rewards.

​

15.5 Forfeiture Upon Termination.

If your account is suspended, terminated, or otherwise disabled, whether by you or by PawKnights, all accumulated Honor Points, ranks, and rewards are immediately forfeited and cannot be restored.

​

15.6 No Expectation of Continuity.
You acknowledge that the Honor Points system is purely a voluntary gamification feature and that PawKnights does not guarantee its continued availability or functionality.

16. Software License and End User License Agreement (EULA)


16.1 License Grant.
Subject to your compliance with these Terms, PawKnights grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to download, install, and use the PawKnights mobile application (“App”) solely for your personal, non-commercial use on a device that you own or control.

16.2 License Restrictions.


You may not, and may not permit others to:

​

a) copy, reproduce, modify, adapt, translate, create derivative works of, or publicly display the App or any portion thereof;
b) reverse-engineer, decompile, disassemble, attempt to derive source code, or bypass any security or authentication measures;
c) distribute, sublicense, lease, rent, sell, or otherwise transfer the App or any rights to it;
d) use the App for any commercial purpose, unauthorized automated access, data scraping, or competitive analysis;
e) use the App in violation of any applicable law, regulation, or third-party rights.

16.3 Updates and Modifications.
The App may automatically download and install updates, patches, or enhancements. Continued use may require installing such updates. PawKnights may modify or discontinue the App or any portion of the Services at any time without liability.

​

16.4 License Termination.
This license automatically terminates if:

​

a) your account is suspended or terminated;
b) you uninstall the App;
c) you violate these Terms or applicable law.

Upon termination, you must immediately cease use and delete all copies of the App.

​

16.5 Export Compliance.
You represent that you:

​

a) are not located in, under the control of, or a national or resident of any country subject to Canadian, U.S., or international embargoes or sanctions;
b) are not identified on any government restricted party or denied entity list;
c) will comply with all applicable export control and economic sanctions laws.

​

16.6 Apple App Store Terms.
If you download the App from the Apple App Store, you acknowledge and agree that:

​

a) this EULA is between you and PawKnights, not Apple;
b) Apple has no responsibility for the App or its content;
c) Apple has no obligation to provide maintenance or support;
d) Apple is not liable for warranty claims or claims arising under consumer protection laws;
e) Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it.

16.7 Google Play Terms.
If you download the App from Google Play, you agree that your use of the App must also comply with:

​

·       the Google Play Terms of Service,

·       all applicable Google Play policies.

​

Google has no responsibility for the App’s performance, support, or compliance.

​

16.8 Reservation of Rights.
All rights not expressly granted to you under this EULA are reserved by PawKnights. No ownership or title to the App or any intellectual property rights is transferred to you.

​

17. Intellectual Property & Patent Claims

​

17.1 No Infringement Warranty.
PawKnights makes no representation or warranty that the Services, or any content or materials provided through the Services, do not infringe any patent, copyright, trademark, trade secret, or other intellectual property rights of any third party.

​

17.2 User Responsibility for Claims.

You acknowledge and agree that any claim alleging that your use of the Services, including your User Content, device configuration, software, or third-party tools, violates or infringes the intellectual property rights of a third party is solely between you and that third party. PawKnights shall have no liability or responsibility for such claims.

​

17.3 Third-Party Integrations.
Some components of the Services may rely on third-party software, SDKs, or APIs (including mapping, analytics, authentication, and operating-system functionality). PawKnights is not responsible for any intellectual property claims arising from such third-party technologies.

​

17.4 Allocation of Risk.
To the fullest extent permitted by law, you agree to hold PawKnights harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from any intellectual-property infringement allegation connected to your use of the Services.

​

18. Force Majeure

​

PawKnights shall not be liable for any delay, failure to perform, or interruption of the Services resulting directly or indirectly from any cause or condition beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, utility or telecommunications failures, internet outages, third-party service disruptions, pandemics, government actions, or failures of suppliers or subcontractors.

19. General Contract Provisions

​

19.1 Severability.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

​

19.2 No Waiver.
No failure or delay by PawKnights in exercising any right or remedy under these Terms shall constitute a waiver. Any waiver must be in writing and shall apply only to the specific instance identified.

​

19.3 Entire Agreement.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and PawKnights and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

​

19.4 Survival.

All provisions that by their nature should survive termination, including those relating to intellectual property, indemnification, limitations of liability, dispute resolution, assignment, and the EULA, shall survive termination of your account and use of the Services.

​

19.5 No Reliance.

You acknowledge and agree that all information provided through the Services, including lost pet reports, sightings, locations, user submissions, partner listings, and any other user generated content, is provided solely for general informational purposes. PawKnights does not verify the accuracy, completeness, or reliability of such information. You agree that you will independently verify any information before relying on it, and you assume all risks associated with such reliance.

19.6 Notices.
All notices, requests, consents, and other communications under these Terms must be in writing and will be deemed delivered when (a) sent by email to the address associated with your account, or (b) posted within the Services. Notices to PawKnights must be sent to contact@PawKnights.com

PawKnights was built to connect communities and help bring pets home safely. These Terms ensure we can do so responsibly, protecting both our users and our mission.
